Terms of Service

These Terms are an agreement between Arvo Equities, LLC, a Florida limited liability company doing business as Assist X VA ("AXVA", "we"), and the client that engages us ("Client", "you").

1. Services

AXVA provides remote virtual assistant and staffing services. Contractors are placed with clients to perform the tasks described in the client's engagement or order.

2. Payment

Fees are invoiced as described in your engagement. We accept payment by Stripe (card), ACH bank transfer or Wise only. Invoices are due on receipt unless your engagement says otherwise. We may pause services on overdue accounts. Any refund is at our sole discretion.

3. Non-solicitation of contractors

During the engagement and for 12 months after it ends, you will not directly or indirectly hire, engage or contract with any AXVA contractor introduced to you, except through AXVA. If you hire or engage a contractor in breach of this section, you will pay AXVA a placement fee equal to 3 months of that contractor's most recent fees, which the parties agree is a reasonable estimate of our loss and not a penalty.

3A. Independent contractors

Independent contractors: AXVA contractors are not your employees. You direct the tasks, are responsible for the instructions and access you give them, and must not ask them to do anything unlawful.

4. Confidentiality

Each party will keep the other's non-public business information confidential and use it only for the engagement. Our contractors are bound by written confidentiality obligations.

5. Limitation of liability

To the fullest extent the law allows, AXVA is not liable for any indirect, incidental, special or consequential damages. AXVA's total liability for all claims is limited to the fees you paid in the 3 months before the claim arose. AXVA is not responsible for business decisions you make or for actions taken on your instructions.

6. Text messages (SMS)

If you opt in, AXVA may text you about your consultation and services. Message frequency varies. Msg & data rates may apply. Reply STOP to opt out, HELP for help. Consent to texts is not a condition of purchase. Carriers are not liable for delayed or undelivered messages.

7. Governing law

These Terms are governed by Florida law. Venue for any dispute is the state or federal courts in Orange County, Florida.
